Compeer Financial Closes Preferred Stock Capital Transaction
Sun Prairie, Wis., (November 20, 2025) – Compeer Financial, a member-owned Farm Credit cooperative, today announced the closing of its private offering of $300 million in perpetual preferred stock to augment its capital position.
“We’re excited to see such strong interest from the broader investment community in supporting agriculture,” said Jase Wagner, president and CEO of Compeer Financial. “This capital raise reinforces the confidence investors have in rural America and the essential work our clients do every day. Strengthening our capital position helps us continue to provide farmers and agribusinesses with the financial tools they need to grow, adapt and succeed.”
The dividend rate on the preferred stock is 7.875% for the first five years, with subsequent five-year reset periods, and will qualify as Tier 1 capital. Compeer Financial intends to use the net proceeds of the offering to reduce borrowings from AgriBank and provide more capacity to support the capital needs of the organization’s clients.
“The level of investor engagement we saw in this offering underscores a growing recognition that agriculture is a critical part of our national economy,” Wagner said. “We’re grateful for the confidence investors have placed in our cooperative. This capital strengthens our ability to partner with clients in meaningful ways — helping them innovate, manage risk and keep their operations moving forward with confidence.”
Piper Sandler & Co. acted as the sole initial purchaser. McDermott Will & Schulte LLP served as legal counsel to Compeer Financial and Davis Polk & Wardwell LLP served as legal counsel to the initial purchaser.
